Terms of Use

These Terms of Service  (“Terms”) govern your access and use of the Geolah platform (“Platform”), applications (“Apps”), and services (“Services”). By using the Services, you agree to be bound by these Terms and the Geolah Policies (collectively, the “Agreement”).

If you don’t agree to these Terms, you cannot use the Platform, Apps, or Services. Geolah may update these Terms at any time without prior notice. The updated Terms will be posted on our website www.geolah.com and within the Geolah Apps. It’s your responsibility to check for updates regularly. Your continued use of the Services after any updates constitutes your acceptance of the revised Terms.

Geolah is a technology company that provides a platform for Users to access Services offered by Geolah or its partners (“Partner-Drivers”). When a Partner-Driver provides a Service, Geolah simply connects you with them. We are not responsible for the actions or omissions of any Partner-Driver. Partner-Drivers are independent contractors and are not employees or agents of Geolah. The Services they provide are not considered Services provided by Geolah itself.

1.Definitions

In these Terms of Service (the “Terms”), the following capitalized terms have the meanings set forth below:

Application: The relevant mobile application(s) made available for download by Geolah (or its licensors) to Users and Partner-Drivers, respectively.

User: Any end-user who accesses or uses the Platform to obtain the Service

User Charges: Charges incurred by Users for the Services obtained through the use of the Platform, including any applicable tolls, taxes, and any other fees or charges that may be due for a particular use of a Service.

Geolah/We: Geo Lah Pte. Ltd.;

Geolah Policies: Collectively refers to the following:

Privacy Policy;

Code of Conduct;

Driver Performance and Community Standards

all other forms, policies, notices, guidelines, frequently asked questions (FAQs), in-app or website product/service descriptions and information cards, or agreements provided to or entered into by you from time to time.

Partner: The independent third parties who provide the relevant Services to Users through the Platform, including driver-partners and delivery-partners

Personal Data: Any information that can be used to identify you or from which you are identifiable. This includes, but is not limited to, your name, nationality, telephone number, bank and credit card details, personal interests, email address, image, government-issued identification numbers, biometric data, race, date of birth, marital status, religion, health information, vehicle and insurance information.

Platform: The Apps, Software, and any other platform, portal, or website that Geolah owns, operates, or otherwise makes available to Users and/or Partners for the purpose of or in connection with the Service(s).

Platform Content: Any content made available on the Platform or any part thereof.

Privacy Policy: Our Privacy Policy accessible at https://geolah.com/, as amended from time to time.

Rectification Measure: The meaning ascribed to it in Clause 28 of Section A.

Service: The linking of Users to Partners or other Users to facilitate the Services.

Software: Any software in connection with the Application, Service(s), which is made available by Geolah.

Services: The transportation, delivery, and/or other services made available to Users through the following offerings:

You: The Partner and/or User of the Service and/or Platform, as applicable. 

2. Representations, Warranties and Undertakings

By using these Services and/or Platform, you represent, warrant, and undertake the following: 

Legal Capacity and Age: You have the legal capacity to enter into this Agreement and are at least eighteen (18) years old. 

Accurate Information: You will provide true, accurate, and complete information as required for the Service and maintain and update this information promptly. Geolah may rely on the accuracy of your information. 

Proof of Identity: You will provide any requested proof of identity or other documents. 

Authorized Access: You will only use an access point or account authorized by Geolah. 

One Account per Device: Only one account can be registered per device, unless otherwise permitted. 

Account Security: You will keep your account password secure and confidential. 

No Account Sharing: You will not authorize others to use your account or transfer your account to another person. 

Unauthorized Use Notification: You will notify us immediately of any unauthorized use of your account or security breach. 

Compliance with Laws: You will comply with all applicable laws when using the Service/App/Platform. 

Lawful Use: You will only use the Platform and Service for their intended and lawful purposes. 

Prohibited Activities: You will not: 

  • Send spam or unsolicited messages. 
  • Send or store harmful, obscene, threatening, libelous, or unlawful material. 
  • Send material containing viruses or other harmful code. 
  • Interfere with the Platform’s integrity or performance. 
  • Attempt unauthorized access to the Platform. 
  • Impersonate anyone or misrepresent your affiliation. 
  • Engage in conduct that damages our reputation. 
  • Circumvent the Platform’s operation. 
  • Use automated programs to burden or hinder the Platform.

 

No Commercial Exploitation: Prohibition of Commercial Exploitation: You are prohibited from commercially exploiting any part of the Platform without Geolah’s express written consent. This includes modifying, creating derivative works, copying, reproducing, distributing, or otherwise utilizing the Platform’s content, logo, fares, or promotion codes. 

If you are a Partner, you further represent, warrant, and undertake the following: 

Necessary Licenses and Permits: You have the required licenses, approvals, and insurance policies for providing the Solution(s). 

Legal Right to Operate: You have the legal right to operate any necessary vehicles, equipment, or premises. 

Liability Insurance: You have valid liability insurance. 

Responsibility for Claims: You are responsible for claims, judgments, and liabilities arising from your Solution(s). 

Compliance with Local Laws: You will comply with all local laws related to your Solution(s). 

No Unauthorized Contact: You will not contact the User for purposes other than the Service. 

No Information Tracing: You will not trace or seek to trace information on any visitor or User. 

Telecommunication Charges: Standard telecommunication charges apply for responding to Users. 

Employer Authorization: If you are an employee, you represent that you have the authority to bind your employer to this Agreement. 

No Coupons or Discounts: You are prohibited from offering coupons or discounts to Users. 

No Data Mining: You cannot use the Service or Platform for data mining of Geolah’s information, unless permitted by law. 

Information Use: You consent to the use of your information for the Services and to facilitate your use of the Platform. Any personal data you receive must only be used for the intended purpose and deleted or anonymized when no longer needed. 

Dormant Accounts: Geolah may consider your account dormant and deactivate or restrict access if there is no activity for six months. 

If you are a User, you further represent, warrant, and undertake the following: 

Personal Use: Your use of the Service is for your personal use or, where permitted, for the use of a minor (under 12 years old). 

Accurate Passenger Information: You will provide accurate passenger information when requesting the Service. 

No Unauthorized Contact: You will not contact the Partner for purposes other than the Service. 

No Damage to Partner’s Property: You will not intentionally or unintentionally cause damage to the Partner or their property. 

Dormant Accounts: Geolah may consider your account dormant and deactivate or restrict access if there is no activity for six months. 

3. Compatibility

The Platform may not be fully compatible with all devices, browsers, or operating systems. While we strive to support commonly used technologies, we cannot guarantee compatibility with specific devices or hardware. 

 4. License and Restriction

Geolah grants you a revocable, non-exclusive, non-transferable, limited license to use the Platform and Service, subject to this Agreement. All rights not explicitly granted are reserved by Geolah and its licensors. You may not: 

  • Post, distribute, or reproduce copyrighted material, trademarks, or proprietary information without permission. 
  • Remove copyright, trademark, or other proprietary rights notices from the Platform. 

 

5. Payment and Tax

Partner Payment Terms 

Geolah charges fees for your use of the Platform & Service (“Platform & Service Fees”). The Service Fee may be up to 10% of the User Charges, unless otherwise agreed upon. Service Fees are payable immediately and non-refundable, regardless of any termination or disruption. Geolah implements a security deposit to protect the platform’s integrity. 

Geolah may act as your collection agent to pay you the total User Charges due for your Solution provision. Geolah reserves the right to suspend transactions for fraudulent, illegal, or criminal activity or breaches of this Agreement. In such cases, Geolah is not liable for withholding, delaying, suspending, forfeiting, or cancelling payments. Geolah may offer promotional offers with different rates to Users, which you must honor. Geolah may change the Service Fee at any time. 

User Payment Terms 

Users must pay in full using the selected method at booking (cash or digital payment). Payments are non-refundable and irrevocable. Payments may be made by credit card, debit card, or other available methods. These payments are governed by the Terms of Service. We may verify and authorize your card details when you register or use the Service. You are responsible for resolving any disputes with your card company. 

Payment Gateway Terms

Taxes 

You are responsible for all applicable taxes, duties, fees, charges, and costs related to this Agreement. You must comply with all laws and assist Geolah in claiming or verifying any tax credits, offsets, rebates, or refunds. If you are a Partner driver, you are responsible for paying any taxes and statutory contributions due on sums payable to you under this Agreement.

6. Cancellation

Partners 

Users rely on you to provide services. Frequent cancellations hurt user experience and Geolah’s reputation. You can cancel bookings, but only for valid reasons listed in the app. Geolah may update these reasons and fees. Cancellations without valid reasons or ignored bookings may lead to temporary suspension. If you feel unfairly penalized due to cancellation fees, appeal to contact@geolah.com 

Users 

You can cancel transportation or delivery requests before being matched with a Partner. 

Cancelling after matching or not showing up may result in a cancellation fee as per Geolah’s Cancellation and Waiting Time Policy. Booking the wrong service (e.g., regular ride with pets) may also incur cancellation fees. If you believe you were incorrectly charged, appeal to contact@geolah.com 

Geolah may, at its discretion, issue refunds after investigation. Refunds may be credited to your payment card or another method deemed reasonable. 

 7. Promotions

Geolah may offer coupons, discounts, or other promotions for use on the Platforms. These promotions have specific validity, redemption, and availability terms. They may not be combined with other promotions or discounts. Additional terms and conditions may apply. Coupons are typically for use on our Platforms only and are non-transferable, non-exchangeable, non-refundable, and cannot be exchanged for cash. Geolah may also disqualify you from promotions if you violate these Terms of Service. 

8. Ratings and Review 

Users and Partners may rate each other for Services provided. Ratings are logged in Geolah’s system. Geolah may take action, including suspending your use of the Service or notifying authorities. 

Driver ratings are calculated based on the last 50 trips to reflect recent performance. If a Driver has less than 50 ratings, the average is calculated based on all ratings received.  

9. Confidentiality

You will maintain the confidentiality of all information and data related to Geolah, its services, products, business affairs, marketing plans, or operations, and its associated companies. This includes information disclosed to you by Geolah (orally or in writing) or acquired directly or indirectly from Geolah or its affiliates. You will only use this confidential information to use the Service and will not disclose it to third parties or use it for other purposes without Geolah’s prior written consent. These confidentiality obligations do not apply to information that: 

  • Was already in your possession at the time of receipt. 
  • Becomes public knowledge through no fault of your own. 
  • Was received from a third party with the right to disclose it. 
  • Is required to be disclosed by law.

10. Data Privacy and Personal Data Protection

Geolah collects and processes your Personal Data in accordance with its Privacy Policy. The Privacy Policy applies to all Geolah Platform and App Services and is incorporated into this Agreement by reference. Where applicable, you consent to Geolah, its subsidiaries, and affiliates collecting, using, processing, and disclosing your Personal Data as described in the Privacy Policy. You acknowledge that Geolah may disclose Personal Data of other individuals to you. You represent and warrant that you will only use this Personal Data for the intended purpose and not for any unauthorized purposes. 

11. Third-Party Interactions

While using the Service, you may encounter offers from third parties. These interactions are solely between you and the third party. Geolah is not responsible for any agreements or communication with third parties. 

The Platform may contain links to websites or content owned by others (“Third-Party Links”). Geolah has no control over these links and is not responsible for their content. Linking to these websites is at your own risk. Geolah may display third-party advertising to subsidize the Service. You can opt-out of such advertising as described in the Privacy Policy. Geolah may compile anonymized data about your use of the Service for consumer reports or analysis. 

In addition to the data sources listed in Section B Clause 5, the Platform uses and modifies search results from Google Maps. By using the Platform, you agree to comply with Google’s Terms of Service, Privacy Notice, and Acceptable Use Policy. These policies restrict certain actions, such as copying Google Maps data or using it for commercial purposes. 

You cannot link to the Platform without Geolah’s approval. Links must be truthful and non-misleading. Linking websites cannot replicate Platform content, create a browsing frame around it, or misrepresent their relationship with Geolah. 

12. Disclaimer, Indemnification, Limitation of Liability 

Geolah makes no representations or warranties about the reliability, timeliness, quality, suitability, availability, accuracy, or completeness of the Service, Software, Application, or Platform, unless otherwise specified in a specific feature. Geolah does not warrant that:    

  • The use of the Service, Software, Application, or Platform will be secure, uninterrupted, error-free, or compatible with other hardware, software, systems, or data. 
  • The Service, Software, Application, or Platform will meet your requirements or expectations. 
  • Stored data will be accurate or reliable. 
  • The quality of products, services, information, or materials purchased through the Platform will meet your requirements or expectations.

The Service and Platform are provided “as is,” with no implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 

Geolah makes no representations or warranties about Services provided by Partners or procured through the Service. You assume all risks associated with using the Service and Solutions provided by Partners. 

Geolah’s role as a collection agent is solely mechanical and administrative, and Geolah owes you no duty of care or fiduciary duties. 

Indemnification 

You agree to indemnify and hold Geolah, its licensors, affiliates, officers, directors, members, employees, attorneys, and agents harmless from any and all claims, costs, damages, losses, liabilities, and expenses (including attorney’s fees and regulatory action) arising from:    

  • Your use of the Service, Platform, or any part thereof. 
  • Your dealings with Partners, Users, third parties, or advertisers. 
  • Your violation of these Terms of Service, third-party terms, or applicable laws. 
  • Your violation of any third-party rights, including those of Partners or Users. 
  • Your use or misuse of the Service, Platform, or any part thereof. 
  • Your ownership, use, or operation of any property, including your provision of Services to Users.

Limitation of Liability 

Unless otherwise stated, and to the fullest extent allowed by law, any claims against Geolah by you shall be limited to the aggregate amount of all amounts actually paid by and/or due from you in utilizing the Service during the event giving rise to such claims. Geolah and/or its licensors shall not be liable for any loss, damage, or injury which may be incurred by or caused to you or to any person for whom you have booked the Service or Solution, including but not limited to:    

  • Damage or injury arising out of, or in any way connected with the Service, the Platform, Application, and/or the Software. 
  • The use or inability to use the Service, the platform, application, and/or the Software. 
  • Any reliance placed by you on the completeness, accuracy, or existence of any advertising.    
  • As a result of any relationship or transaction between you and any user, partner, merchant, advertiser, or sponsor whose advertising appears on the platform or is referred to by the service and/or the platform.    

These limitations of liability apply even if Geolah and/or its licensors have been previously advised of the possibility of such damages. 

13. Miscellaneous 

13.1 Notices  

Geolah may notify you through the following methods: 

  • General notice on the Application: We may post important information on the app itself. 
  • Email: We may send you emails to the address you provided. 
  • Mail: We may send you written communication via registered mail.

You can contact us through the following methods: 

  • Registered Mail: Send to the address provided in the Application or on the website. 

 

13.2 General  

These Terms of Service are governed by Singapore law. Any disputes arising from these Terms of Service or the Service shall be referred to the Singapore International Arbitration Centre (SIAC) for arbitration. The arbitration will be conducted in accordance with SIAC’s rules and will be held in Singapore. The Arbitrator will be appointed by mutual agreement or, if necessary, by the President of SIAC. The fees of the Arbitrator will be shared equally by you and Geolah, unless the Arbitrator determines otherwise to ensure enforceability. 

Alternative Dispute Resolution for Partner Drivers: Partner drivers may choose to submit disputes for mediation at the Singapore Mediation Centre or Small Claims Tribunal, subject to their respective rules. 

These Terms of Service do not create an agency, partnership, or joint enterprise with Geolah. If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will remain in effect.    

Geolah’s failure to enforce any right or provision does not constitute a waiver of that right or provision. This Agreement constitutes the entire agreement between you and Geolah regarding the matters stated herein and supersedes any prior or contemporaneous negotiations or discussions, unless mutually agreed otherwise. If you have a separate written agreement with Geolah that incorporates a reference to these Terms of Service, these Terms of Service will apply in addition to the separate agreement. In case of inconsistencies between these Terms of Service and the separate written agreement, you agree to work with Geolah in good faith to resolve the conflicts or inconsistencies. Certain services made available on the Platform may be subject to additional terms and conditions, which will be communicated to you.    

Section B – Delivery Terms  

For Delivery Partners: 

Prohibited Items: Delivery Partners shall not accept any delivery item that contains or is reasonably believed to contain any of the following: 

For Delivery Users: 

Prohibited Items: You shall not send any delivery item that contains or is reasonably believed to contain any of the following: 

  • Dangerous Goods: Explosives, flammable substances, or other items classified as dangerous goods under applicable laws and regulations. 
  • Musical Instruments: Instruments that require specialized handling or are susceptible to damage during transit. 
  • Livestock: Animals or pets. 
  • Plants and Flowers: Live plants or flowers. 
  • Perishable Items: Food and beverages. 
  • Controlled Substances: Narcotics, psychotropic substances, or other controlled substances. 
  • Alcohol: Alcoholic beverages. 
  • Obscene or Immoral Materials: Items that are deemed obscene or immoral under applicable laws. 
  • Valuables: Coins, banknotes, and other items of significant monetary value. 
  • High-Value Items: Gold, jewelry, watches, precious stones, gems, art pieces, artifacts, luxury goods, or other items of substantial value. 
  • Mails, Letters, and Documents 
  • Personal Effects (i.e. house removal) 

Notification of Prohibited Items: If prohibited items are discovered before, during, or after transit, Geolah will notify local authorities. 

Fragile Items: You may send fragile items (e.g., cakes, glasswares, musical instruments) at your own risk. Geolah will not be liable for damages caused to such items during delivery. Please provide specific handling instructions when placing your order. 

Ownership and Authorization: You represent and warrant that you are the owner or authorized representative of the delivery item and that you have the authority to accept these Terms of Service. 

Accurate Delivery Details: You are responsible for ensuring that the delivery details you enter in the Application are accurate and complete. Geolah will not be liable for late or non-delivery due to incorrect information. Address changes must be made through the designated in-app channels. 

Recipient Authorization: You represent and warrant that you have the recipient’s authorization to provide their details to Geolah and the Partner. 

Accurate Item Description: You represent and warrant that the description and specific details of the delivery item you provide are accurate and complete. Inform the Partner of any necessary precautions before delivery. 

Compliance with Laws: You represent and warrant that you comply with all applicable laws regarding the delivery item and that the item is not: (i) non-compliant with or prohibited by any laws; (ii) dangerous; (iii) easily degradable; (iv) flammable; (v) explosive; (vi) corrosive; (vii) radioactive.  

Inspection and Refusal: Geolah and/or the Partner have the right to inspect the delivery item and refuse delivery if they suspect it contains prohibited items. 

Proper Packaging: You represent and warrant that the delivery item is properly and sufficiently packed for safe transportation. 

Post-Delivery Liability: After delivery, you are solely liable for any loss, damage, or other issues related to the delivery item. 

Recipient Disclosure: Geolah may disclose your details to the recipient.
